1. Acceptance of Terms

This service is operated by AshWeb Inc. (the "Operator" or "we"). By accessing or using Calmkeel ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

The AshWeb Platform Terms (/platform-terms) also apply to your use of this app. They cover AI-generated content, sharing characters with other users and apps, and reporting content; where they conflict with these Terms, the Platform Terms prevail.

2. Service Description

Calmkeel is a non-custodial automated trading tool. You connect your own exchange account with an API key, set a budget, and start the bot; the bot then PLACES AND CLOSES ORDERS IN YOUR ACCOUNT on your behalf, according to a fixed and disclosed rule set. Specifically, the Service:

  • Executes trades in your exchange account — it does not merely suggest them
  • Runs one fixed, published strategy (a sharp-drop reversal rule on USDⓈ-M perpetual futures); it is not tailored to you or your circumstances
  • Requires an exchange API key with trading permission only. We never request withdrawal permission, and the bot only places trades and never moves funds off your exchange
  • Never holds customer funds. Your money stays in your own exchange account at all times
  • Reports the positions it opened and closed
  • Stops opening new positions the moment you stop it

The Service is a tool you operate. It is not a managed account, a fund, a pooled investment vehicle, or discretionary asset management.

3. User Accounts and Eligibility

3.1 Account Creation

  • You must be at least 18 years old to use this Service
  • You must provide accurate and complete information
  • You are responsible for maintaining account security
  • One person or entity per account unless otherwise agreed

3.2 Account Responsibilities

  • You are responsible for all activities under your account
  • You must notify us immediately of any unauthorized use
  • We reserve the right to terminate accounts that violate these terms
  • You must comply with all applicable laws and regulations in your jurisdiction

4. Usage Limits and Fair Use

4.1 How Usage Is Metered

  • Usage is metered per POSITION ENTERED by the bot — not per day, and not per signal
  • Each position the bot opens uses part of your usage
  • The free usage you get at signup lets you run the bot for real before you subscribe
  • When your usage runs out the bot opens no new positions. Positions already open keep being managed and closed normally, and are never liquidated for billing reasons
  • The strategy trades only when the market meets its conditions. Long stretches with no trades are normal and are not a fault of the Service

4.2 Fair Use Policy

  • No reselling or redistribution of the Service or its output without permission
  • No attempts to reverse-engineer or extract algorithm data
  • Respect computational resources and avoid excessive concurrent requests
  • Users are solely responsible for compliance with all applicable trading and financial laws

5. Important Financial Disclaimers

5.1 Not Investment Advice

THE SERVICE EXECUTES A FIXED, PRE-DISCLOSED RULE SET THAT YOU CHOOSE TO RUN. IT DOES NOT CONSTITUTE INVESTMENT ADVICE, FINANCIAL ADVICE, TRADING ADVICE, OR A RECOMMENDATION THAT ANY TRADE IS SUITABLE FOR YOU. WE ARE NOT A REGISTERED INVESTMENT ADVISER, BROKER-DEALER, OR PORTFOLIO MANAGER.

  • Every trade is placed by a fixed algorithm, not by a person exercising judgement on your behalf
  • No guarantee of profitability or trading success
  • Past performance does not indicate future results
  • You should conduct your own research and consult qualified financial advisors

5.2 Risk Warning

TRADING CRYPTOCURRENCY DERIVATIVES INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS.

  • You may lose some or all of your invested capital
  • Cryptocurrency markets are highly volatile and unpredictable
  • Leverage trading increases both potential profits and losses
  • Only invest money you can afford to lose completely

5.3 No Guaranteed Results

  • We do not guarantee profit, success, or specific trading outcomes
  • Trading results vary based on market conditions, execution, and individual decisions
  • Orders may be delayed, partially filled, filled at a worse price than modelled, or missed entirely
  • Technical analysis has inherent limitations and may fail

6. Service Limitations and Technical Disclaimers

6.1 Data and Execution Accuracy

  • The strategy was designed and tested on historical market data; past behaviour does not bind future behaviour
  • Real-time data may be delayed or inaccurate due to exchange limitations
  • The strategy code and the systems that run it may contain bugs, errors, or limitations
  • We do not guarantee the accuracy, completeness, or timeliness of market data, order execution, or reported results

6.2 Service Availability

  • We strive for high uptime but do not guarantee uninterrupted service
  • Market data feeds may be interrupted or delayed
  • Scheduled maintenance may pause the bot, leaving open positions unmanaged until it resumes
  • Third-party exchange API limitations may impact functionality

6.3 Technology Risks

  • Software bugs or errors may cause wrong, duplicated, or missing orders
  • Network latency may delay order placement or closure, changing the price you receive
  • Exchange API changes may temporarily disrupt service
  • Cybersecurity risks inherent in digital financial services

7. User Responsibilities and Trading Conduct

7.1 Independent Decision Making

  • You are solely responsible for all trading decisions and actions
  • Read and understand the strategy and its published results before you start the bot
  • Consider your risk tolerance, financial situation, and investment objectives
  • Do not commit funds you have not decided to risk after your own assessment

7.2 Compliance with Laws

  • Comply with all applicable financial regulations in your jurisdiction
  • Ensure cryptocurrency and forex trading is legal in your country
  • Pay all applicable taxes on trading profits
  • Follow know-your-customer (KYC) and anti-money laundering (AML) requirements

7.3 Risk Management

  • Use appropriate position sizing and risk management techniques
  • Never risk more than you can afford to lose on any single trade
  • Diversify your portfolio and trading strategies
  • The bot does not use stop-loss orders: a position stays open until its timer closes it, even if the price keeps falling. Decide the budget you give the bot with that in mind

8. Payment and Billing

8.1 Subscriptions and top-ups

  • A subscription renews automatically at the end of each period at the price shown when you subscribed, until you cancel
  • Cancel at any time: in the App Store or Google Play subscription settings if you subscribed there, or in Settings → Subscription in this app if you paid on the web. Cancelling stops the next renewal; you keep access until the end of the period you paid for
  • The usage included with a subscription is an amount for each period. It resets at each renewal, does not carry over, and ends when the subscription ends
  • Usage from a top-up does not expire
  • Prices are shown before you pay. We give at least 30 days' notice of a price change for an existing subscription

8.2 Refunds

Refunds are handled under our Refund Policy.

  • NO REFUNDS for trading losses, strategy performance, or investment outcomes

9. Privacy and Data Protection

Your use of our Service is also governed by our Privacy Policy. Please review our Privacy Policy, which informs users of our data collection and usage practices regarding trading data and portfolio information.

10. Regulatory Compliance and Licensing

10.1 Service Registration

  • This Service is not a registered investment advisor
  • We are not licensed as a broker-dealer or financial institution
  • We do not provide personalized investment advice
  • The Service executes one fixed, published strategy in your own exchange account; it does not give personalised advice

10.2 Regulatory Limitations

  • Service availability may be restricted in certain jurisdictions
  • We reserve the right to refuse service based on regulatory requirements
  • Users must comply with local financial regulations and licensing requirements
  • Professional traders may need additional licensing or registration

10.3 International Considerations

  • Cryptocurrency regulations vary significantly by country
  • Users are responsible for understanding their local regulatory environment
  • Some features may not be available in restricted jurisdictions
  • Cross-border financial service regulations may apply

11. Limitation of Liability

11.1 Nature of the Tool

This Service is automated execution software that you choose to run on your own exchange account. Users acknowledge that:

  • The Service places and closes orders automatically once started; it does not ask you to confirm each trade
  • You decide whether to run the Service, which exchange account it runs on, and how much capital it may use, and you may stop it at any time
  • The strategy is fixed and disclosed in advance. It is not selected for you, adapted to your circumstances, or supervised by a person on your behalf
  • The Service does not provide financial advice, investment recommendations, or trading guidance
  • We do not take custody of your funds, and the bot never withdraws them

11.2 Trading and Investment Responsibility

USERS ARE SOLELY RESPONSIBLE FOR:

  • Your decision to run the Service, on which account, and with how much capital
  • Understanding and accepting all risks associated with trading and investing
  • Ensuring compliance with applicable financial regulations and laws
  • Managing their own risk tolerance and capital allocation
  • Any financial losses, missed opportunities, or trading consequences
  • Conducting independent research and due diligence
  • Determining the legality and appropriateness of all trading activities

11.3 Financial Risk and Service Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE SHALL NOT BE LIABLE FOR:

  • Any trading losses, investment losses, or missed financial opportunities
  • The outcome of any trade the Service places while you have it running
  • Market volatility, sudden price movements, or exchange-related issues
  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenues, or capital
  • Any damages arising from user's trading or investment activities
  • Inaccurate or delayed market data from third-party sources
  • Service outages, technical difficulties, or platform issues

11.4 Maximum Liability Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless the Service and its affiliates from any claims, damages, or expenses arising from:

  • Your trading activities and decisions
  • Violation of these Terms or applicable laws
  • Your use of the Service
  • Regulatory violations or licensing issues
  • Any false or misleading information you provide

13. Market Data and Exchange Relationships

13.1 Third-Party Data Sources

  • Market data is provided by third-party exchanges and data providers
  • We do not control the accuracy or availability of market data
  • Data feeds may be subject to exchange terms and conditions
  • Some data may be delayed or require additional fees

13.2 Exchange Integration

  • Integration with cryptocurrency exchanges requires API access
  • Exchange API limitations may affect service functionality
  • We are not responsible for exchange downtime or technical issues
  • Users must comply with exchange terms of service

14. Strategy Methodology

14.1 Technical Analysis Basis

  • The strategy is a fixed, rule-based method published in the Service
  • Algorithms incorporate multiple timeframes and market conditions
  • Historical backtesting was used to choose the strategy parameters, which means those parameters were selected with hindsight over that period

14.2 Algorithm Limitations

  • No algorithm can predict market movements with certainty
  • Technical analysis has inherent limitations and may fail
  • Market conditions can change rapidly, making historical patterns invalid
  • Black swan events and market manipulation can affect signal accuracy

14.3 Continuous Improvement

  • We continuously update and improve our algorithms
  • The strategy may be changed, paused, or withdrawn; material changes will be announced before they apply to running bots
  • Historical performance may not reflect current algorithm versions
  • New features and indicators may be added or removed

15. Prohibited Uses

15.1 Illegal Activities

You may not use our Service for:

  • Money laundering or terrorist financing
  • Tax evasion or fraudulent activities
  • Manipulation of cryptocurrency or forex markets
  • Violation of securities or financial regulations

15.2 Service Abuse

  • Attempting to reverse-engineer our algorithms
  • Sharing or reselling the Service without permission
  • Creating multiple accounts to exceed usage limits
  • Using automated tools without authorization

15.3 Reporting

To report misuse of the Service, or anything in this app that breaks these Terms, email support@ashweb.io.

16. Termination

16.1 Termination by You

  • You may cancel your subscription at any time through account settings
  • Cancellation takes effect at the end of the current billing period
  • You remain responsible for any trading positions or obligations

16.2 Termination by Us

  • We may terminate or suspend your account for Terms violations
  • Immediate termination for illegal activities or regulatory violations
  • 30 days notice for termination without cause
  • Termination does not affect your responsibility for existing trades

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by the laws of the place where AshWeb Inc. is established. This does not take away protections the law of your country of residence gives you as a consumer.

17.2 Dispute Resolution

  • Any disputes shall be resolved through binding arbitration
  • Class action lawsuits are not permitted
  • Small claims court jurisdiction is preserved for appropriate claims
  • Arbitration shall be conducted in English in the Service's jurisdiction

18. Changes to Terms

We reserve the right to update these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Continued use of the Service after changes constitutes acceptance.

20. Entire Agreement

These Terms, together with the Platform Terms, the Privacy Policy, and the Refund Policy, are the entire agreement between you and AshWeb Inc. regarding the Service, superseding any prior agreements.

21. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

IMPORTANT: BY STARTING THE BOT YOU ACKNOWLEDGE THAT YOU UNDERSTAND THE RISKS INVOLVED, THAT THE SERVICE WILL PLACE AND CLOSE ORDERS IN YOUR EXCHANGE ACCOUNT WITHOUT ASKING YOU TO CONFIRM EACH ONE, AND THAT THE DECISION TO RUN IT — ON WHICH ACCOUNT AND WITH HOW MUCH CAPITAL — IS YOURS.
